Welcome to Eclipse by True Hussle, operated by True Hussle INC. Please read these Terms of Service (“Terms”) carefully before using the app. By accessing or using the app, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Eclipse by True Hussle, you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable laws.

2. Eligibility

3. User Accounts

• You may choose to create an account by registering a username.

• True Hussle INC. is not liable for any loss or damage resulting from unauthorized access if extenuating circumstances are present.

4. Content Ownership & User Responsibility

• Users retain full ownership of the content they upload.
  
• By uploading content, you grant True Hussle INC. a non-exclusive, royalty-free license to host and display your content within Eclipse App and Website.
  
• You must only upload content that you have rights to use.
  
• You are solely responsible for any content you upload or share.

5. Prohibited Conduct

You agree not to:

• Upload content that is unlawful, harmful, violent, defamatory, hateful, obscene, scam, fraud, false information, restricted, or otherwise inappropriate
  
• Infringe on any third-party intellectual property rights
  
• Harass, impersonate, or threaten other users
  
• Attempt to interfere with the platform’s normal operations
  
• Reproduce, duplicate, or exploit any part of the app without express written permission to contact@truehussle.com

3.  Submitting a DMCA Takedown Notice

If you believe that your copyrighted work has been infringed on our platform, please provide a written notification that includes all of the following:

1. A physical or electronic signature of a person authorized to act on behalf of the copyright owner.
   
2. A description of the copyrighted work you claim has been infringed.
   
3. A description of where the allegedly infringing material is located on our platform (e.g., specific URL or username).
   
4. Your full name, mailing address, telephone number, and email address.
   
5. A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
   
6. A statement that the information in your notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner. 

Note: Incomplete notifications may not be processed.

D) Counter-Notification Procedure

If you believe that material you posted was removed or disabled in error, you may file a counter-notification. Your written counter-notice must include the following:

1. Your physical or electronic signature.
   
2. Identification of the material that has been removed or to which access has been disabled, and the location where the material appeared before it was removed.
   
3. A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification.
   
4. Your name, mailing address, telephone number, and email address.
   
5. A statement that you consent to the jurisdiction of the federal court in your district (or if outside the U.S., to a U.S. court jurisdiction where the platform is located), and that you will accept service of process from the original complainant or their agent.

We will forward your counter-notification to the original complaining party. If they do not notify us within 10–14 business days that they have filed a court action to restrain you from engaging in infringing activity, we may restore the removed content.

E) Repeat Infringer Policy

True Hussle Inc. may, in appropriate circumstances, disable or terminate the accounts of users who are determined to be repeat infringers. A “repeat infringer” is a user who has been the subject of multiple valid DMCA notices. We reserve the right to define what constitutes a repeat infringement, and we maintain a record of DMCA complaints to support this policy.

F) Misuse of DMCA Process

Filing false or abusive DMCA notices or counter-notices can lead to liability under Section 512(f) of the DMCA. Please be honest and accurate in your submissions. We may suspend or terminate accounts found to be abusing the DMCA process.

G) Modifications

We reserve the right to modify or replace this DMCA Policy at any time. It is your responsibility to review this policy periodically. Continued use of our services after any modifications constitutes acceptance of those changes.

7. Termination

We may update, modify, or discontinue the app at any time, without notice or liability.

9. Disclaimer of Warranties

The app is provided “as is” and “as available.” We make no warranties of any kind, including that the app will be uninterrupted or error-free. TRUE HUSSLE expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability or fitness for a particular purpose with respect to the website and the product or service links available online. You expressly understand and agree that TRUE HUSSLE will not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages for any reason resulting from the access to or use of the website to purchase products or services. 

The content of the website is not intended in any way to be any professional, legal, medical, or other advice, recommendation, or endorsement, even if it includes the opinions of legal, medical, or other professionals. By accessing or using Eclipse by True Hussle (the “App”) and the associated website www.truehussle.com (the “Website”), you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the App or the Website.

2. Changes to the Terms

We reserve the right to modify, amend, or change these Terms at any time without prior notice. Any changes will be posted on this page with a new Effective Date. Your continued use of the App after such changes signifies your acceptance of the updated Terms.

3. Eligibility

We reserve the right to suspend or terminate your account or access to the App at our sole discretion, without notice, for any reason, including but not limited to violation of the Terms or any applicable law.

8. Dispute Resolution

Please refer to our Dispute Resolution section, located under Section 13, which outlines the process for resolving disputes through mediation and binding arbitration in Philadelphia, Pennsylvania.

9. Limitation of Liability

To the fullest extent permitted by law, True Hussle Inc. and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of data, or business interruption, arising out of your use of or inability to use the App.

10. Indemnification

You agree to indemnify, defend, and hold harmless True Hussle Inc., its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of or in connection with your use of the App or any violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States. If any dispute arises, it will be subject to binding arbitration in Philadelphia, Pennsylvania, as detailed in the Dispute Resolution section.

13. Dispute Resolution

A. Overview and Agreement to Resolve Disputes
This provision applies to all users of the website and/or app, as well as individuals who have accepted these Terms of Service. By using or accessing Eclipse by True Hussle (“Eclipse” or “the App”), you explicitly agree and consent that in the event of any dispute, claim, or disagreement arising out of or relating to your use of or access to the website and/or the App, you will attempt to resolve the dispute through good-faith negotiation and mutual agreement with True Hussle Inc. or any of its directors, officers, agents, or legal representatives.

B. Mediation
If a dispute cannot be resolved through good-faith negotiation, the parties agree to meet at a mutually convenient time and location in Philadelphia, Pennsylvania for mediation. The mediation shall be conducted by a mediation firm agreed upon by both parties. A written notice of the dispute must be sent to True Hussle Inc. at the following address:

The mediation process must begin within 30 days of the written notice. If the mediation does not resolve the dispute within 60 days from the start of the mediation, the parties agree to proceed with arbitration as outlined below.

C. Arbitration
If mediation fails to resolve the dispute within the 60-day period, the parties agree to submit the dispute to binding, enforceable, and non-appealable arbitration. Arbitration will be conducted in accordance with the Rules of Commercial Arbitration of the American Arbitration Association (AAA) in Philadelphia, Pennsylvania. Written notice of the arbitration must be provided to True Hussle Inc. within thirty (30) days following the conclusion of the mediation process.

D. Arbitration Procedures
Discovery in the arbitration process shall be limited to the extent allowed under the arbitration rules, or as otherwise agreed by the parties. Unless an undue hardship exists, the arbitration hearings shall be conducted on consecutive business days, to the greatest extent possible.

The cost of the mediation and arbitration will be shared equally between the parties, unless otherwise determined by the arbitrator. Each party is responsible for their own legal fees and costs, except as otherwise awarded by the arbitrator.

E. Jurisdiction and Venue
You expressly agree that any arbitration or legal proceedings related to this Agreement shall be conducted in Philadelphia, Pennsylvania, and you consent to the personal jurisdiction and subject matter jurisdiction of the courts in the Commonwealth of Pennsylvania for the purpose of compelling arbitration, staying proceedings pending arbitration, and confirming, modifying, vacating, or entering judgment on the award of the arbitrator.

F. Waiver of Jury Trial
You expressly waive any right to a trial by jury in any legal proceedings related to these Terms of Service, including arbitration.

G. Governing Law
These Terms of Service, and any disputes arising out of or relating to them, shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law principles.

You may not upload, post, or share content that:

• Infringes on intellectual property rights: Do not post content that violates copyright, trademark, or patent laws.

• Is misleading or fraudulent: Do not post misleading information or impersonate others.

7. Be Authentic

Engage in genuine interactions. Do not impersonate other users or provide false or misleading information.

8. Compliance with Laws

By using the App, you agree to comply with all applicable local, national, and international laws and regulations regarding the content you upload, share, and the way you interact with other users.

9. Protect Your Account

You are responsible for the activity on your account. Please do not share your account information, and report any suspicious activity to us immediately.

10. Encouraging Positive Behavior
